Standard master services agreement governing software engineering, intellectual property transfer, and project execution.

1. Complete 100% Intellectual Property (IP) Ownership Transfer
Unlike legacy agencies that trap clients in proprietary licensing subscriptions, Wokkai adheres to an engineering-first transfer model:
- Upon receipt of final milestone payments, 100% of all custom source code, Git repositories, database schemas, Figma design tokens, API documentation, and algorithmic scripts are irrevocably transferred to the client.
- Clients retain unrestricted rights to modify, sublicense, commercialize, or independently host the delivered software products without ongoing royalties to Wokkai.
2. Scope of Services & Sprint Execution
Wokkai provides software architecture, mobile app engineering, autonomous AI workflows, enterprise ERP development, and technical AI SEO. All deliverables are governed by individual Statements of Work (SOW) detailing:
- Sprint milestones, acceptance criteria, and expected weekly deliverables.
- Iterative staging previews with continuous automated CI/CD integration.
- Two-week post-launch technical warranty coverage for bug fixes and infrastructure validation.
3. Payment Terms & Invoicing
Engineering engagements operate on milestone-based escrow or structured sprint retainers. Invoices are payable via international SWIFT wire, Stripe Corporate Invoicing, or verified corporate banking channels.
Work commences upon execution of the mutual SOW and receipt of the initial sprint deposit. Milestone acceptance periods are standard 7 business days from deployment to the client staging cluster.
4. Warranties & Limitation of Liability
Wokkai warrants that all custom delivered software is written in compliance with modern industry engineering standards (OWASP Top 10 security standards, semantic clean code principles, and official framework best practices).
In no event shall Wokkai or its lead architects be liable for indirect, incidental, or consequential damages arising from third-party hosting outages, upstream API changes (e.g. OpenAI model deprecation, Apple App Store policy changes), or client misconfigurations.
